Our client Alex and Co (fictional) is a merchant in international trade.
Scenario 1: Alex and Co manufactures and supplies products and some services to overseas buyers, whose identities can carry credit (and possibly regulatory) risks, rendering contractual enforcement a concern for Alex. Security guarantee would be required under many contracts in this situation, but it may not be customary, for example, due to the provision of deposits. Indeed, for a thinly capitalised, highly geared seller, too, similar concerns may exist for the other side and a security may be sought to guarantee success. The identity and risks profile of the buyer of record may differ from the initial buyer, which may raise concerns on the effectiveness of binding obligations. …
In short, under a contract, there are plenty of negotiated, factual and unilaterally decided matters to think about for each party under the memorandum of agreement and the fine-print terms and conditions. We advise and provide watertight documentations to further our client’s best interests.
Scenario 2: Alex and Co is also the middleman importing goods manufactured overseas. They are in the process of incorporating a new company and establishing the supply chain with various warehousing and logistic needs in the UK. They need a formal contract for buying goods FOB and a back-to-back contract for selling goods locally in the UK. We not only provide legal drafting services to Alex, but also help ‘design engineer’ the new supply chain and minimise different risks faced by Alex and Co as a supplier and a customer.
Scenario 3: Alex and Co also asks us to review the warehouse lease. Having reviewed their legal rights and obligations as we are asked to do, we confirm that they cannot unilaterally terminate a binding contract without incurring losses. But that should not be the end of the matter, as we advise on practical solutions where possible, and in this instance with a view to exiting the contract, it may be possible to do so by carefully negotiating the exit within the limit of the specific circumstances, in a measured and orderly manner, without putting ourselves in breach. The way negotiations are conducted often carry risks of varying degrees depending on circumstances in each case. We are able to help you navigate the complicated and complex situations.

A: No, we are a legal consultancy –
We offer unreserved legal services in accordance with the Legal Services Act 2007.
We hold a PII cover for £1 mil for the legal services we provide; this can be increased upon request.
Q2: Who are your clients?
A: We specialise in business and commercial law. So, our clients are businesses, domestic and overseas, mostly incorporated and led by individuals with a significant trading record.
Please note, we do not advise private clients or individuals, who may benefit more from the services of solicitors and/or direct access barristers.
Q3: Who will be attending the boat show from Spes Good Consulting?
A: Evy Liu (founder director) will be attending every day, and there will be one or two volunteers attending on 20 September.
